ROLE SUMMARY
Reporting to the Executive Vice President, General Counsel & Corporate Secretary, the Senior Vice President & Deputy General Counsel serves as the principal deputy to the General Counsel and a senior member of the Legal Leadership Team. The role is authorized to represent the Legal Department and, as delegated, the company with executive leaders, the Board and its committees, regulators, clients, providers, business partners, and other external stakeholders. This position is expected to be viewed as a potential successor to the Executive Vice President, General Counsel & Corporate Secretary.
The Senior Vice President & Deputy General Counsel shares responsibility for the strategic leadership and management of the Legal Department, including department planning, talent development, succession planning, culture, resource allocation, and operational effectiveness. The role also provides legal leadership for strategic transactions, affiliations, partnerships, joint ventures, and other significant enterprise initiatives, while overseeing multiple legal practice areas and senior legal leaders supporting corporate and health plan matters.
This role provides enterprise leadership for the Artificial Intelligence Responsible Use Office and related AI governance programs. Working across Legal, Compliance, Privacy, Information Security, Technology, Risk Management, and the business, the position helps the organization anticipate and address evolving legal, regulatory, compliance, privacy, cybersecurity, contractual, litigation, and governance requirements, as well as increasing expectations from clients, providers, regulators, and business partners concerning the responsible use of AI. The role is accountable for keeping the Legal Department and the enterprise proactive and appropriately responsive as AI-related legislation, regulatory activity, and litigation emerge, while enabling responsible innovation and measurable business value.
Specific Responsibilities
The Senior Vice President & Deputy General Counsel will have the following responsibilities
Serve as the principal deputy to the Executive Vice President, General Counsel & Corporate Secretary, with authority to represent the Legal Department and the company on delegated matters and to act on the General Counsel’s behalf when appropriate.
Partner with the General Counsel to shape and execute Legal Department strategy, annual and long-range planning, priorities, operating model, and alignment with enterprise objectives.
Lead multiple legal practice areas and senior legal leaders, with accountability for talent development, succession planning, performance management, engagement, culture, resource allocation, and a collaborative, high-performing department.
Advise executive and business leaders on significant legal, regulatory, governance, reputational, and strategic matters and translate complex issues into practical business recommendations.
Provide executive legal leadership for commercial and government health products and markets, including product strategy, sales and distribution, regulatory approvals, risk programs, branding, licensing, and intellectual property
Lead legal strategy for strategic transactions, affiliations, partnerships, joint ventures, mergers and acquisitions, investments, and other significant enterprise initiatives, including structuring, due diligence, negotiation, approval, execution, integration, and ongoing governance.
Direct legal strategy and engagement on significant federal and state regulatory matters involving PID, CMS, OIG, DHS, DOJ, DOL, DOBI, and other agencies.
Provide executive legal oversight of significant litigation, investigations, disputes, regulatory inquiries, procurement and vendor relationships, and other matters involving material legal, regulatory, financial, operational, or reputational risk.
Lead the Artificial Intelligence Responsible Use Office and enterprise AI governance, including the development, implementation, and ongoing enhancement of policies, standards, controls, review processes, accountability mechanisms, education, and monitoring for the responsible adoption and use of AI and emerging technologies.
Anticipate and address evolving AI-related legal, regulatory, compliance, privacy, cybersecurity, contractual, litigation, and governance requirements and stakeholder expectations, ensuring the organization remains proactive and appropriately responsive while enabling responsible innovation and business value.
Advice on corporate governance and Board and Board committee matters, coordinating with enterprise leaders and serving as a trusted representative of the General Counsel on delegated matters.
Drive effective, efficient legal services delivery through disciplined prioritization, resource and budget stewardship, outside-counsel strategy, technology, performance management, and continuous improvement.
Required Qualifications and Experience
Education
Bachelor’s degree and Juris Doctor (J.D.) from an ABA-accredited law school required.
Admission to the Pennsylvania Bar, or another state bar with the ability to become licensed in Pennsylvania; active license and membership in good standing required.
Experience
Minimum of 15 years of progressively responsible legal experience, including significant leadership experience in a health insurer, healthcare organization, managed care organization, law firm, or similarly complex regulated environment.
Demonstrated success advising executive leadership on complex legal, regulatory, governance, product, market, and business matters.
Significant experience leading legal teams and senior professionals, setting priorities, developing talent, and building a collaborative, high-performing culture.
Deep knowledge of healthcare law and managed care, including commercial and government products, provider contracting, health services, pharmacy, compliance, and corporate matters.
Substantial experience managing enterprise legal risk, significant investigations and disputes, regulatory inquiries, agency engagement, outside counsel, legal budgets, and legal operations.
Experience supporting the Board, Board committees, corporate governance, and significant enterprise initiatives; experience with strategic transactions, partnerships, affiliations, joint ventures, or mergers and acquisitions preferred.
Strong knowledge of emerging legal and regulatory issues affecting healthcare organizations, including privacy, cybersecurity, technology, data governance, and artificial intelligence.
